3. Service Description

ApexClip is an AI-powered video processing platform that:

• Identifies engaging moments in long-form video content
• Generates short-form video clips with captions and reframing
• Provides transcription and content analysis
• Enables publishing to social media platforms (YouTube, TikTok, Instagram)
• Offers autopilot mode for automated content workflows

4. Subscription Plans & Credits

4.1 Free Plan

The free plan includes a limited number of credits per month. Credits are consumed when processing videos and generating clips.

4.2 Paid Plans

Paid plans (Starter, Pro) offer increased credits, additional features, and priority processing. Plans are billed monthly or annually through Stripe.

4.3 Credits

• Credits are consumed per operation (clip generation, transcription, publishing).
• Unused credits do not roll over between billing periods.
• Overage usage, if enabled, is billed at the per-credit rate shown in your plan.

4.4 Refunds

Subscription payments are non-refundable except as required by applicable law. You may cancel your subscription at any time; your plan will remain active until the end of the current billing period.

5. User Content

5.1 Ownership

You retain all ownership rights to the videos you upload and the clips generated from them. We do not claim ownership of your content.

5.2 License to Us

By uploading content, you grant us a limited, non-exclusive, worldwide license to process, transform, and store your content solely for the purpose of providing the Service. This license terminates when you delete your content or close your account.

5.3 Content Responsibility

You represent and warrant that:

• You own or have the necessary rights to all content you upload.
• Your content does not infringe any third-party intellectual property rights.
• Your content does not violate any applicable laws or regulations.
• Your content does not contain harmful, hateful, or illegal material.

6. Prohibited Uses

You agree not to:

• Upload content you do not have rights to process or distribute
• Use the Service to generate illegal, harmful, or deceptive content
• Attempt to reverse engineer, decompile, or hack the Service
• Use automated scripts or bots to access the Service (except via our API, if offered)
• Resell or redistribute the Service without our written consent
• Circumvent any credit limits, rate limits, or usage restrictions
• Upload content containing malware or malicious code

7. Third-Party Integrations

The Service integrates with third-party platforms including YouTube, TikTok, and Instagram. Your use of these integrations is subject to the respective platform's terms of service. We are not responsible for third-party platform actions, including content removal or account suspension.

8. AI-Generated Content

The Service uses artificial intelligence to identify clips, generate titles, descriptions, and captions. While we strive for accuracy:

• AI-generated content may contain errors or inaccuracies.
• You are responsible for reviewing all generated content before publishing.
• We do not guarantee that AI-generated content will perform well on social platforms.

9. Intellectual Property

The Service, including its design, code, algorithms, branding, and documentation, is owned by ApexClip and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEXCLIP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ApexClip from any claims, losses, or damages (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

13. Termination

• You may delete your account at any time through settings.
• We may suspend or terminate your account for violation of these Terms.
• Upon termination, your right to use the Service ceases immediately.
• We will delete your data in accordance with our Privacy Policy.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page. Your continued use of the Service after changes constitutes acceptance of the new Terms.
